What Should a CEO Ask Before Approving Any New AI Tool?

AI is driving a seismic shift in how businesses operate. But approving a new AI tool isn’t simply an IT decision. It’s a decision about data, security, compliance, vendor risk, and accountability.

While some organizations approve tools because they promise quick productivity gains, forward-thinking CEOs ask harder questions first. Here’s a practical Q&A checklist.

Q: What business problem will this AI tool solve?

AI security expert: Start with the business case. Is the tool expected to reduce costs, accelerate decisions, improve customer experience, or increase employee productivity?

Require:

  • A clearly defined use case

  • Measurable success metrics

  • An estimated return on investment

  • A list of processes the tool will affect

  • A plan for human oversight

If nobody can explain how success will be measured after 30, 60, or 90 days, approval is premature.

Q: What data will the tool access?

AI security expert: This is one of the most important questions. Ask whether the AI will process customer records, financial information, employee data, intellectual property, emails, source code, or confidential documents.

Then ask:

  1. Where is the data stored and processed?

  2. Is it encrypted in transit and at rest?

  3. Is our data used to train or improve the vendor’s model?

  4. Can we opt out through a written contract?

  5. How long are prompts, files, and outputs retained?

  6. Can the vendor permanently delete our data and verify deletion?

A privacy policy alone isn’t enough. CEOs should expect precise answers in the contract.

Q: What security controls protect the AI system?

AI security expert: Ask how the vendor handles identity, access, credentials, logging, and tenant isolation. The tool should support role-based access, least privilege, multifactor authentication, API-key rotation, and exportable audit logs.

Also ask how it defends against:

  • Prompt injection

  • Unauthorized data access

  • Model manipulation

  • Sensitive information leakage

  • Malicious documents or web content

  • Harmful or inaccurate outputs

OTG Consulting’s security consultants can help organizations evaluate these controls against their existing risk environment.

Q: What proof does the vendor provide?

AI security expert: Don’t accept “enterprise-grade” as evidence. Request current SOC 2 reports, ISO certifications, penetration-test summaries, incident-response procedures, subprocessors, model documentation, and security commitments.

Ask who owns the underlying model, cloud platform, and data-processing relationships. Your vendor may depend on several other companies.

The Vanta AI vendor questionnaire and NACD boardroom guidance provide useful starting points for executive-level due diligence.

Q: Who is accountable after approval?

AI security expert: Assign an owner before deployment. That person should coordinate security, legal, compliance, data governance, and the business team using the tool.

Establish:

  • An AI inventory

  • Acceptable-use rules

  • Approval thresholds

  • Human-review requirements

  • Ongoing performance monitoring

  • Incident escalation procedures

  • A documented exit plan

OTG’s AI consultants help businesses build practical AI roadmaps aligned with existing systems and goals: not generic technology plans.

Q: What is the final CEO checklist?

AI security expert: Approve the tool only when the organization has documented answers to these five questions:

  1. What value will it deliver?

  2. What data will it touch?

  3. How will it be secured?

  4. What contractual and compliance protections exist?

  5. Who is accountable for monitoring and responding to problems?

AI creates a significant leap in business capability: but only when leadership governs it with the same discipline applied to finance, security, and operations.
